THE SPOT CLUBTM PROGRAM - TERMS & CONDITIONS


The following are the terms and conditions of a legal agreement between you and TPS Parking Management, LLC, a Delaware limited liability company d/b/a The Parking Spot ("The Parking Spot"). By registering your Spot ClubTM or Spot ClubTM Exec card on the this website (the "Website"), you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions (the "Spot ClubTM Terms and Conditions") as well as the Website's more general Terms and Conditions of Use (the "General Terms and Conditions"), and you agree to comply with all applicable laws and regulations with respect to The Spot ClubTM Program. IF YOU DO NOT AGREE TO THE SPOT CLUBTM TERMS AND CONDITIONS AND THE GENERAL TERMS AND CONDITIONS, THEN DO NOT REGISTER YOUR SPOT CLUBTM OR SPOT CLUBTM EXEC CARD. The Spot ClubTM Terms and Conditions govern solely your participation in The Spot ClubTM Program, and are in addition to the General Terms and Conditions.

  1. Eligibility for Membership in The Spot ClubTM Program. Any person who is at least 18 years of age and a resident of the United States is eligible for membership in The Spot ClubTM Program. By registering your Spot ClubTM or Spot ClubTM Exec card, you certify that you meet these requirements. If you do not meet these requirements you may not participate in The Spot ClubTM Program.
  2. Registration of Spot ClubTM and Spot ClubTM Exec Cards. By registering your Spot ClubTM or Spot ClubTM Exec card on the Website, you automatically become a member of and participant in The Spot ClubTM Program (a "Member") and acknowledge that you have read, understood and agree to be bound by these Spot ClubTM Terms and Conditions and this Website's General Terms and Conditions.
  3. Accumulation of Spot ClubTM Program Points. As a Member, you will accumulate Spot ClubTM Program points each time you park in a Parking Spot facility using your Spot ClubTM or Spot ClubTM Exec card. In each such case, you will receive five (5) Spot ClubTM Program points for every dollar spent on parking, excluding all taxes, airport fees, car-care services and any other fees not directly attributable to parking. For purposes of awarding Spot ClubTM Program points, all parking dollars spent will be rounded to the nearest dollar. If any Spot ClubTM Program points to which you are entitled as provided herein are not recorded to your account, you may request that such Spot ClubTM Program points be recorded by printing out the Missing Credit Form as then available at the Website and following its instructions. Retroactive discounts for Spot ClubTM Exec cardholders will not be given.
  4. Award Certificates. You may redeem Spot ClubTM Program points for award certificates at the Website at any time, provided that you continue to be a Member and your account has sufficient Spot ClubTM Program points for the requested award certificate. The number of points which must be redeemed for any particular award certificate is determined based upon the parking rates for the length of stay, location and service level that you are requesting for such award certificate, as indicated on the Website when you redeem such Spot ClubTM Program points. For each free day of parking at a particular location and service level that you request for an award certificate, you will be required to redeem that number of Spot ClubTM Program points equal to (i) the then current standard published daily parking rate for such location and service level, multiplied by (ii) 5, multiplied by (iii) 7. For example, if you have requested an award certificate for a location and service level which has a standard published daily parking rate of $10.00, then you will need to redeem 350 Spot ClubTM Program points for each free parking day to be reflected on the award certificate. You will be deemed to have received an award certificate when you acknowledge that the award certificate has printed successfully, and an award certificate may not be redeemed unless you have acknowledged that it printed successfully. Award certificates may be redeemed for one or more full days in one stay only, and must be surrendered at exit. Award certificates are fully redeemed when surrendered. Award certificates are valid only for the length of stay, location and service level specified on the award certificate. The Parking Spot cannot guarantee availability of a parking space, at the requested service level or otherwise, unless you have obtained a reservation in accordance with the General Terms and Conditions.
  5. Transferability of Award Certificates. Award certificates are transferable only gratuitously, and are void if bartered or sold. Lost, stolen or expired award certificates cannot be replaced.
  6. No Transferability of Spot ClubTM and Spot ClubTM Exec Cards. Spot ClubTM Program cards are not transferable.
  7. Expiration of The Spot ClubTM Points. Spot ClubTM Program points will expire, without notice, 24 months after the Member's latest account activity.
  8. Expiration of Award Certificates; Use of Other Promotions. Spot ClubTM Program award certificates expire six months from the date you receive the award certificate. Award certificates are deemed received in accordance with Section 4 above. No additional coupons or discounts may be combined with a the use of an award certificate.
  9. Modification or Cancellation of The Spot ClubTM Program. The Parking Spot reserves the right to modify or cancel The Spot ClubTM Program at any time and from time to time, without notice. Such modification or cancellation will be effective when posted on the Website. Such modification may include, without limitation, changes in the terms and conditions for the award of Spot ClubTM Program points, changes in the terms and conditions for the redemption of Spot ClubTM Program points and the issuance of award certificates, and changes in the terms and conditions for the redemption of award certificates.
  10. Expulsion from the Spot ClubTM Program. Members may be expelled from the Spot ClubTM Program for any violation of these Spot ClubTM Terms and Conditions. Such violations may include, but are not limited to the following:
    1. attempting to redeem an award certificate that has been reported as "failed to print";
    2. attempting to print and redeem an award certificate with the same number more than once;
    3. bartering or selling an award certificate; or
    4. transferring a Spot ClubTM Program card.
  11. Ownership of Spot ClubTM and Spot ClubTM Exec Cards. Your Spot ClubTM or Spot ClubTM Exec card shall, at all times, remain the property of The Parking Spot, and must be surrendered to The Parking Spot upon demand.
  12. Trademarks. All trademarks, service marks and trade names used on this Website in connection with The Spot ClubTM Program or otherwise are proprietary to The Parking Spot or other respective owners that have granted The Parking Spot the right and license to use such trademarks, service marks and trade names, and are protected by U.S. and international trademark laws. No user of this Website or participant in The Spot ClubTM Program is granted any rights to such trademarks, service marks or trade names. The Parking Spot's registered or unregistered trademarks, service marks and trade names used in connection with The Spot ClubTM Program include, without limitation, the following: The Parking Spot® and The Spot ClubTM.
